Thank you for using FUNDS™. Through the FUNDS portal at portal.mypatient.global (the "Site"), authorized organizations and their users intake, validate, route, and reconcile healthcare claims and facilitate payment on a neutral rail (together with the Site, the "Service" or "Services"). These Terms & Conditions, together with our Privacy Policy (collectively, the "Agreement"), form a binding contract between you and My Patient Global, Inc., a [STATE OF INCORPORATION] corporation, or any of its subsidiaries or affiliates ("My Patient Global"), which owns and operates the Site.

By using the Site you represent that you are at least 18 years of age, are authorized to act for the organization on whose behalf you access the Site, are able to enter into a binding contract, and accept these Terms as they may be amended from time to time. Please read these Terms and the Privacy Policy carefully. We may revise these Terms as we add functionality and will post changes here; your continued use after changes are posted constitutes acceptance.

My Patient Global is a technology service — not insurance, and not a coverage decision-maker

My Patient Global provides software infrastructure that intakes, validates, routes, and reconciles healthcare claims and facilitates payment between the parties responsible for them. My Patient Global is not an insurer, health plan, third-party administrator, or provider of medical services, and it does not provide medical advice or make medical-coverage or benefit determinations. Coverage and benefit decisions are made by the applicable plan, payer, or administrator. FUNDS validates and routes claims; it does not adjudicate them.

My Patient Global is not health insurance and is not intended as a substitute for, or supplement to, any insurance product. My Patient Global and its affiliates and subsidiaries are not licensed, and do not imply or suggest that they are licensed, to sell any insurance product in any state, territory, or district of the United States or any other country.

Where My Patient Global facilitates payment, it generates payment and remittance files that the responsible party executes from its own account. My Patient Global does not take custody of funds and is not a money transmitter.

My Patient Global does not recommend, endorse, verify, evaluate, or guarantee any provider, payer, plan, product, opinion, or information exchanged through the Site, and does not warrant the validity, accuracy, completeness, safety, legality, or quality of content submitted by any party. My Patient Global will not be liable for damages sustained due to reliance on such content.

Your rights and responsibilities

1. Authorized use

The Site is intended for authorized users of organizations that have an agreement with My Patient Global or with one of its customers, and who are at least 18 years of age. You may use the Site only within the scope of that agreement and the role assigned to you. The Site is not directed to, and does not knowingly collect information from, individuals under 18.

2. Restrictions on use

You agree and represent that you will not use the Site or Service to:

impersonate any person or entity, misrepresent your affiliation with any person or entity, or create a false identity to mislead others;
upload, transmit, or otherwise make available content that is unlawful, harmful, threatening, abusive, harassing, false, misleading, defamatory, obscene, invasive of another’s privacy, or otherwise objectionable;
upload or transmit content that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party;
upload or transmit material containing software viruses or any code designed to interrupt, destroy, or limit the functionality of any software, hardware, or telecommunications equipment;
send "spam" or any other form of unauthorized solicitation;
use automated scripts to collect information from or otherwise interact with the Site;
access, or attempt to access, data belonging to another organization or tenant, or probe, scan, or circumvent the security or tenant separation of the Site;
violate any applicable local, state, national, or international law; or
provide material support or resources to any organization designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act.

You will not use any robot, spider, or manual process to monitor or copy the Site or its content without our prior express written permission; use any device or routine to interfere with the proper working of the Site; impose an unreasonable or disproportionately large load on our infrastructure; engage in "screen scraping" or "database scraping"; frame our marks or proprietary information; use meta tags or hidden text using My Patient Global’s name or trademarks; or systematically retrieve data to create or compile a collection, database, or directory, in each case without My Patient Global’s express written permission.

3. Information you provide

In using the Service, you and your organization may submit identification, contact, operational, claims, eligibility, and related information, which may include PHI. You are responsible for the accuracy of the information you submit and for having the authority and any necessary consents to submit it. My Patient Global has no liability for decisions made by a plan, payer, administrator, or provider based on the information you submit. My Patient Global processes PHI as a business associate under the applicable business associate agreement and the Privacy Policy.

You are responsible for maintaining the confidentiality and security of your access credentials and for all activity that occurs under your access, including activity by others to whom you provide access. You must notify My Patient Global immediately of any unauthorized use of your access or any other breach of security of which you become aware.

4. Content you submit

You agree not to submit content that infringes or violates the rights of any party, and you represent that you have all rights necessary to submit it. Any personal information contained in content you submit must belong to you, your organization, or the individuals your organization is authorized to act for. By submitting content through the Site, you grant My Patient Global a non-exclusive, worldwide, royalty-free license to use, copy, store, display, reproduce, transmit, and process that content (i) for purposes of providing the Service; (ii) as permitted or required by law; and (iii) in accordance with the Privacy Policy. You agree to indemnify and hold My Patient Global and its affiliates, directors, officers, and employees harmless from any claims and expenses, including attorneys’ fees, arising from the content you submit or your failure to comply with these Terms.

5. Links to other sites

The Site may contain links to third-party websites. Unless otherwise stated, such links are not intended to state or imply that My Patient Global sponsors, is affiliated with, or is authorized to use any trade name, trademark, logo, or seal reflected in them. My Patient Global makes no warranties regarding third-party sites and is not responsible for their content or practices; if you access them, you do so at your own risk.

6. Intellectual property

The Site is protected by copyright, trademark, trade dress, and other intellectual property rights. My Patient Global grants you a personal, revocable, non-transferable, non-exclusive right to use the Site for its intended business purpose, provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble, sell, assign, sublicense, grant a security interest in, or otherwise transfer any right in the Site, except to the extent such activity is permitted by applicable law notwithstanding this limitation.

The logos, service marks, and service names on the Site (the "Marks"), including FUNDS™, are owned or licensed by My Patient Global, Inc. You agree not to copy, display, or otherwise use any Mark without prior written permission, or in any manner likely to cause confusion or to disparage or dilute the Marks.

The copyrighted and proprietary property of My Patient Global, Inc. or its affiliates may not be duplicated or used without its express prior written consent.

7. Third-party material

My Patient Global will not be liable for content submitted by third parties or at the direction of users; you must evaluate the accuracy and usefulness of such content. My Patient Global does not pre-screen content, but My Patient Global and its designees have the right (but not the obligation) to refuse or remove any content available through the Service, including content that violates these Terms or is deemed objectionable.

Release, indemnification, and disclaimers

8. Release

By using the Site and Service, you agree to release, discharge, and hold harmless My Patient Global, Inc. and its subsidiaries and affiliates from any and all losses, damages, rights, claims, and actions of any kind arising out of or relating to the Site, the Service, or any act or omission by any person, including without limitation any dispute between you and any other person.

If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

9. Indemnification

You agree to indemnify and hold My Patient Global, Inc. and its affiliates harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party arising out of or relating to the Services, any content transmitted through the Service, your use of or connection to the Service, your violation of these Terms, or your violation of any rights of another.

10. Disclaimer of warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MY PATIENT GLOBAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MY PATIENT GLOBAL MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR ACCESSIBLE AT TIMES OR LOCATIONS OF YOUR CHOOSING, OR THAT RESULTS OR INFORMATION OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE. EXCEPT AS EXPRESSLY SET FORTH HEREIN OR IN YOUR AGREEMENT, MY PATIENT GLOBAL MAKES NO WARRANTIES ABOUT THE SOFTWARE OR FUNCTIONS MADE ACCESSIBLE THROUGH THE SITE.

11. Limitation of liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT MY PATIENT GLOBAL, INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM (I) THE USE OR INABILITY TO USE THE SERVICE; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (III) ANY OTHER MATTER RELATING TO THE SERVICE. EXCEPT AS OTHERWISE PROVIDED IN YOUR AGREEMENT AND TO THE EXTENT PERMITTED BY LAW, MY PATIENT GLOBAL’S TOTAL LIABILITY FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION WILL NOT EXCEED THE GREATER OF THE AMOUNT SPECIFIED IN YOUR AGREEMENT OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Dispute resolution

Please read this section carefully as it affects your rights. Except as your written agreement with My Patient Global provides otherwise, most concerns can be resolved quickly by contacting support. If we cannot resolve a dispute informally, you and My Patient Global agree to resolve it through binding arbitration, mediation, or small-claims court rather than in courts of general jurisdiction. Any arbitration will proceed on an individual basis; class arbitrations and class actions are not permitted.

12. Arbitration agreement

My Patient Global and you agree to arbitrate all disputes and claims between us, intended to be broadly interpreted, including claims arising out of or relating to any aspect of the relationship between us. Either party may bring an individual action in small-claims court, and this agreement does not preclude you from bringing issues to a government agency. These Terms evidence a transaction in interstate commerce, and the Federal Arbitration Act governs this provision, which survives termination.

A party who intends to seek arbitration must first send the other a written Notice of Dispute by certified mail describing the claim and the relief sought. Notice to My Patient Global should be addressed to My Patient Global, Inc., [MAILING ADDRESS] (the "Arbitration Notice Address"). If the dispute is not resolved within sixty (60) days after the Notice is received, either party may commence arbitration. The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules as modified by these Terms. The arbitrator is bound by these Terms and will issue a reasoned written decision. You and My Patient Global agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding; if this provision is found unenforceable, the entirety of this arbitration provision is null and void.

13. Governing law and venue

You and My Patient Global agree that the statutes and laws of the State of New York, without regard to conflict-of-laws principles, apply to all matters relating to use of the Site, and that any litigation between the parties will be brought only in the state or federal courts having jurisdiction in New York County, New York, to whose jurisdiction you consent. EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. Any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after it arose or be forever barred.

Miscellaneous

14. Modification

My Patient Global may at any time modify, add to, or remove portions of this Agreement. It is your responsibility to review this Agreement periodically for changes, which we will post on the Site. By continuing to use the Site or Service after changes are posted, you agree to be bound by this Agreement as modified.

15. Entire agreement

These Terms, together with our Privacy Policy and your organization’s written agreement with My Patient Global (which controls in the event of any conflict), constitute the entire agreement between you and My Patient Global with respect to your use of the Site or Service.

16. Severability

If any provision of this Agreement is deemed unlawful, void, or unenforceable, that provision is severable and does not affect the validity or enforceability of the remaining provisions.

17. Headings and waiver

Headings are for reference only. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

18. Termination

My Patient Global may terminate or suspend your right to use the Site, with or without cause, at any time in its sole discretion, including for violation of this Agreement. Upon termination, all representations, warranties, indemnifications, and promises made by you survive.
